Video Submission Agreement
Introduction This Video Submission Agreement (“Agreement”) governs the submission of video footage (“Video”) by the submitter (“Contributor”) to Talents Web Solutions (“Company”, “we”, “us”, “our”). By submitting Video to us, the Contributor automatically agrees to the terms outlined in this Agreement.
Grant of Rights The Contributor hereby grants to the Company an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, sub-licensable, and transferable right to use, reproduce, modify, edit, adapt, publish, translate, create derivative works from, distribute, perform, display, and incorporate into other works the Video, in whole or in part, in any form, media, or technology now known or later developed, including but not limited to websites, streaming platforms, advertisements, and promotional materials.
Use of Video The Company may use the Video for any purpose, including but not limited to:
- Posting on social media platforms, websites, and YouTube;
- Incorporating into advertisements and promotional materials;
- Selling the Video or parts of it in any media format;
- Broadcasting the Video on any media channels.
Contributor Representations and Warranties The Contributor represents and warrants that:
- They own the Video or have the necessary licenses, rights, consents, and permissions to authorize the Company to use the Video as stated in this Agreement;
- The Video does not infringe on the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party;
- They have obtained consent from all persons who appear in the Video to use their image and likeness according to the terms of this Agreement.
Indemnification The Contributor agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to the Contributor’s breach of this Agreement or the use of the Video as permitted under this Agreement.
No Obligation to Use The Company shall have no obligation to use the Video and may, at its discretion, edit, refuse to publish, or remove any Video previously published under this Agreement.
Right of Non-Purchase and Deletion The Company reserves the right to not purchase or use any Video submitted by the Contributor. Furthermore, the Company may, at its discretion, immediately delete and permanently remove any Video from its storage that it chooses not to purchase or use, without any obligation to notify the Contributor.
Miscellaneous This Agreement constitutes the entire agreement between the Contributor and the Company regarding the subject matter hereof. If any part of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in effect. This Agreement is binding on the parties and their respective successors and assigns.
